OVERVIEW

บทนำ

These Terms of Service (“Terms”) govern your access to, and use of the website, online store and related services operated by InMode (Thailand) Ltd. (“Company”, “we”, “us” or “our”) through the Shopify platform (collectively, the “Services”).

 

By accessing or using the Services, including placing any order for products or services through the Services, you agree to be bound by these Terms, together with any applicable order terms, policies or notices referenced herein. If you do not agree to these Terms, you must not access or use the Services.

 

These Terms are intended to be read together with our Privacy Policy and any other policies expressly incorporated by reference, which form an integral part of these Terms.

ในการเข้าถึงหรือใช้บริการ รวมถึงการสั่งซื้อสินค้าหรือบริการผ่านบริการ ท่านตกลงที่จะผูกพันตามข้อกำหนดฉบับนี้ ตลอดจนข้อกำหนด คำสั่งซื้อ นโยบาย หรือประกาศอื่นใดที่ได้อ้างอิงไว้ในข้อกำหนดนี้ หากท่านไม่ยอมรับข้อกำหนดฉบับนี้ ท่านต้องงดการเข้าถึงหรือใช้งานบริการ

 

ข้อกำหนดฉบับนี้ให้ใช้บังคับร่วมกับนโยบายคุ้มครองข้อมูลส่วนบุคคลของบริษัท และนโยบายอื่นใดที่ได้อ้างอิงไว้โดยชัดแจ้งในข้อกำหนดนี้ ซึ่งถือเป็นส่วนหนึ่งของข้อกำหนดฉบับนี้ด้วย

By using the Services, you represent and warrant that you are at least 20 years of age, or that you have obtained the consent of a parent or legal guardian where required under applicable law.

 

You agree not to use the Services or any products for any unlawful or unauthorised purpose, and not to violate any applicable laws or regulations in connection with your use of the Services (including without limitation, intellectual property laws).

 

You shall not transmit any malicious code, including viruses, worms or any other code of a destructive nature, through the Services.

 

We reserve the right to suspend or terminate your access to the Services immediately if you breach or violate any of these Terms.

 

ในการใช้บริการร้านค้าออนไลน์ของเรา ท่านรับรองและยืนยันว่าท่านมีอายุไม่ต่ำกว่า 20 ปีบริบูรณ์ หรือได้รับความยินยอมจากบิดา มารดา หรือผู้ใช้อำนาจปกครองแล้วในกรณีที่กฎหมายกำหนด

 

ท่านตกลงว่าจะไม่ใช้บริการหรือผลิตภัณฑ์ใดเพื่อวัตถุประสงค์ที่ผิดกฎหมายหรือวัตถุประสงค์ที่ไม่ได้รับอนุญาต และตกลงว่าจะไม่ฝ่าฝืนกฎหมายหรือข้อบังคับใด ๆ ที่เกี่ยวข้องกับการใช้บริการ (รวมถึงกฎหมายหรือข้อบังคับที่เกี่ยวข้องกับการคุ้มครองทรัพย์สินทางปัญญา)

 

ท่านต้องไม่ส่งหรือเผยแพร่โปรแกรม โค้ด หรือข้อมูลใด ๆ ที่มีลักษณะเป็นอันตราย รวมถึงไวรัส เวิร์ม หรือโค้ดที่มีลักษณะทำลายระบบ ผ่านบริการ

 

บริษัทอาจระงับหรือยกเลิกการเข้าถึงบริการของท่านได้ทันที หากท่านฝ่าฝืนหรือไม่ปฏิบัติตามข้อกำหนดฉบับนี้ในข้อใดก็ตาม

 

2.     GENERAL CONDITIONS

We reserve the right, at our discretion, to refuse, suspend or terminate the provision of the Services to any person, at any time, in accordance with these Terms and applicable law.

 

You acknowledge that content transmitted through the Services, other than payment card information, may be transferred over various networks and may be subject to technical modifications to conform to the requirements of such networks or devices. Payment card information is encrypted during transmission over networks in accordance with applicable security standards.

 

You agree not to reproduce, duplicate, copy, sell, resell, or otherwise exploit any part of the Services, the use of the Services, or access to the Services, without our prior written consent.

 

Headings used in these Terms are for convenience only and shall not affect the interpretation of these Terms.

 

บริษัทขอสงวนสิทธิในการปฏิเสธ ระงับ หรือยุติการให้บริการแก่บุคคลใด ๆ ได้ตลอดเวลาตามดุลพินิจของบริษัท ภายใต้เงื่อนไขในข้อกำหนดฉบับนี้และข้อกำหนดของกฎหมาย

 

ท่านรับทราบว่าข้อมูลหรือเนื้อหาที่ถูกส่งผ่านบริการ เว้นแต่ข้อมูลบัตรที่ใช้ในการชำระเงิน อาจถูกส่งผ่านเครือข่ายหลายระบบ และอาจมีการปรับเปลี่ยนทางเทคนิคเพื่อให้สอดคล้องกับข้อกำหนดของเครือข่ายหรืออุปกรณ์ดังกล่าว ทั้งนี้ ข้อมูลบัตรที่ใช้ในการชำระเงินจะถูกเข้ารหัสระหว่างการส่งข้อมูลตามมาตรฐานความปลอดภัยที่เกี่ยวข้อง

 

ท่านตกลงว่าจะไม่ทำซ้ำ คัดลอก จำหน่าย จำหน่ายต่อ หรือแสวงหาประโยชน์จากส่วนใดส่วนหนึ่งของบริการ การใช้บริการ หรือการเข้าถึงบริการ ไม่ว่าทั้งหมดหรือบางส่วน เว้นแต่จะได้รับความยินยอมเป็นหนังสือล่วงหน้าจากบริษัท

 

หัวข้อที่ใช้ในข้อกำหนดฉบับนี้จัดทำขึ้นเพื่อความสะดวกในการอ้างอิงเท่านั้นโดยไม่กระทบต่อการตีความข้อกำหนดฉบับนี้

3.     ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

บริการอาจมีข้อมูลในลักษณะเป็นข้อมูลในอดีตซึ่งจัดทำขึ้นเพื่อใช้อ้างอิงเท่านั้น บริษัทขอสงวนสิทธิในการแก้ไข ปรับปรุง หรือยกเลิกเนื้อหาใด ๆ ของบริการได้ตลอดเวลาโดยไม่ต้องแจ้งให้ทราบล่วงหน้า และไม่มีหน้าที่ต้องปรับปรุงข้อมูลใด ๆ เว้นแต่มีกฎหมายกำหนดไว้เป็นอย่างอื่น ทั้งนี้ ท่านรับทราบว่าท่านมีหน้าที่ในการติดตามการเปลี่ยนแปลงของบริการด้วยตนเอง

4.     MODIFICATIONS TO THE SERVICE AND PRICES

Prices for products and services offered through the Services may be changed from time to time. Any such changes shall not affect orders that have already been accepted by us.

To the extent permitted by law, we shall not be liable to you or any third party for any modification, price change, suspension or discontinuance of the Services.

 

ราคาสินค้าและบริการที่เสนอผ่านบริการของบริษัทอาจมีการเปลี่ยนแปลงเป็นครั้งคราว ทั้งนี้ การเปลี่ยนแปลงดังกล่าวจะไม่กระทบต่อคำสั่งซื้อที่บริษัทได้ตอบรับแล้ว

 

บริษัทขอสงวนสิทธิในการแก้ไข ระงับ หรือยกเลิกการให้บริการ ทั้งหมดหรือส่วนหนึ่งส่วนใด ไม่ว่าจะเป็นการชั่วคราวหรือถาวร ทั้งนี้ โดยเป็นไปตามข้อกำหนดกฎหมาย

 

บริษัทไม่มีหน้าที่ต้องรับผิดต่อท่านหรือบุคคลภายนอก เกี่ยวกับการแก้ไข การเปลี่ยนแปลงราคา การระงับ หรือการยกเลิกบริการดังกล่าว ทั้งนี้ ภายในขอบเขตที่กฎหมายอนุญาตให้ทำได้

5.     PRODUCTS OR SERVICES

Certain products or services may be available exclusively online through the Services.

 

We make reasonable efforts to display product descriptions, images and colours as accurately as possible. However, we do not guarantee that the display of any colour or image on your device will be accurate.

 

We reserve the right, at our discretion and subject to applicable law, to limit the sale or supply of any products or services to any person, geographic area or jurisdiction, and to limit quantities offered.

 

All descriptions of products, services and pricing are subject to change at any time without notice. We reserve the right to discontinue any product or service at any time. Any offer made through the Services is void where prohibited by law.

 

Except as expressly stated in these Terms or in an applicable order or warranty, we do not warrant that any products or services will meet your individual expectations, nor that the Services will be uninterrupted or error-free.

รายละเอียดสินค้า บริการ และราคาอาจมีการเปลี่ยนแปลงได้ตลอดเวลาโดยไม่ต้องแจ้งให้ทราบล่วงหน้า บริษัทขอสงวนสิทธิในการยกเลิกการจำหน่ายสินค้า หรือยุติการให้บริการใด ๆ ได้ตลอดเวลา ทั้งนี้ หากข้อเสนอใด ๆ ที่เสนอผ่านบริการของบริษัทมีลักษณะเป็นการขัดต่อกฎหมายให้ข้อเสนอนั้นมีผลเป็นโมฆะ

 

บริษัทไม่รับรองว่าสินค้าหรือบริการของบริษัทจะเป็นไปตามความคาดหวังของท่าน และไม่รับรองว่าบริการของบริษัทจะปราศจากข้อขัดข้องหรือข้อผิดพลาด เว้นแต่จะระบุไว้โดยชัดแจ้งในข้อกำหนดฉบับนี้ ในคำสั่งซื้อ หรือเป็นไปตามเงื่อนไขการรับประกันที่เกี่ยวข้อง

6.     ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse, limit or cancel any order, in whole or in part, at our discretion and in accordance with applicable law. This may include limitations on quantities purchased per person, per household or per order, including orders placed under the same customer account, payment method, or billing or shipping address.

 

If we amend or cancel an order, we may attempt to notify you using the contact details provided at the time the order was placed.

 

We also reserve the right to limit or prohibit orders that, in our reasonable judgment, appear to be placed for resale, distribution or other commercial purposes not authorised by us.

 

You agree to provide current, complete and accurate billing, payment and account information for all purchases made through the Services, and to promptly update such information as necessary to enable us to process transactions and contact you where required.

 

บริษัทขอสงวนสิทธิในการปฏิเสธ จำกัด หรือยกเลิกคำสั่งซื้อใด ๆ ไม่ว่าทั้งหมดหรือบางส่วน ตามดุลพินิจของบริษัทและภายใต้ขอบเขตที่กฎหมายอนุญาตให้ทำได้ ทั้งนี้ อาจรวมถึงการจำกัดปริมาณการสั่งซื้อในแต่ละบุคคล แต่ละครัวเรือน หรือแต่ละคำสั่งซื้อ รวมถึงคำสั่งซื้อที่ใช้บัญชีลูกค้า วิธีการชำระเงิน หรือที่อยู่ในการเรียกเก็บเงินหรือที่อยู่ในการจัดส่งเดียวกัน

 

ในกรณีที่มีการแก้ไขหรือยกเลิกคำสั่งซื้อ บริษัทอาจติดต่อท่านผ่านข้อมูลการติดต่อที่ท่านได้ให้ไว้ในขณะทำการสั่งซื้อ

 

นอกจากนี้ บริษัทขอสงวนสิทธิในการจำกัดหรือยกเลิกคำสั่งซื้อที่บริษัทได้ใช้ดุลพินิจอันสมควรและเห็นว่าเป็นการสั่งซื้อเพื่อการขายต่อ การจัดจำหน่าย หรือเพื่อวัตถุประสงค์เชิงพาณิชย์อื่นใดที่ไม่ได้รับอนุญาตจากบริษัท

 

ท่านตกลงที่จะให้ข้อมูลการเรียกเก็บเงิน การชำระเงิน และข้อมูลบัญชีผู้ใช้ที่ถูกต้อง ครบถ้วน และเป็นปัจจุบันสำหรับการสั่งซื้อทั้งหมดผ่านบริการ และจะปรับปรุงข้อมูลดังกล่าวโดยไม่ชักช้า เพื่อให้บริษัทสามารถดำเนินการธุรกรรมและติดต่อท่านได้ตามความจำเป็น

7.     OPTIONAL TOOLS

The Services may provide access to tools, features or services made available by third parties (“Third-Party Tools”). We do not control, monitor or have input into such Third-Party Tools.

 

Access to any Third-Party Tools is provided on an “as is” and “as available” basis. To the extent permitted by law, we make no warranties, representations or conditions of any kind in relation to such Third-Party Tools, and we do not endorse them.

 

Your use of any Third-Party Tools is entirely at your own risk and discretion. You are responsible for reviewing and complying with the applicable terms and policies of the relevant third-party providers.

 

We may, from time to time, introduce new services, features, tools or resources through the Services. Any such additions shall be subject to these Terms, unless expressly stated otherwise.

 

ในการใช้บริการ ท่านอาจสามารถเข้าถึงเครื่องมือ ฟีเจอร์ หรือบริการที่จัดหาโดยบุคคลภายนอก (“เครื่องมือของบุคคลภายนอก”) ซึ่งบริษัทไม่มีอำนาจควบคุม ตรวจสอบ หรือมีส่วนร่วมในการดำเนินการของเครื่องมือดังกล่าว

 

การเข้าถึงและการใช้เครื่องมือของบุคคลภายนอกให้บริการในสภาพ “ตามที่เป็นอยู่” และ “ตามที่มีให้บริการ” เท่านั้น ทั้งนี้ ภายใต้ขอบเขตที่กฎหมายอนุญาตให้ทำได้ บริษัทไม่ให้การรับประกัน คำรับรอง หรือเงื่อนไขใด ๆ เกี่ยวกับเครื่องมือของบุคคลภายนอก และไม่ถือเป็นการรับรองหรือสนับสนุนเครื่องมือดังกล่าว

 

การใช้เครื่องมือของบุคคลภายนอกเป็นความเสี่ยงและอยู่ในดุลพินิจของท่านเอง โดยท่านมีหน้าที่ต้องตรวจสอบและปฏิบัติตามข้อกำหนด เงื่อนไข และนโยบายของผู้ให้บริการบุคคลภายนอกที่เกี่ยวข้องด้วยตนเอง

 

บริษัทอาจเสนอการให้บริการ ฟีเจอร์ เครื่องมือ หรือทรัพยากรใหม่เพิ่มเติมผ่านบริการเป็นครั้งคราว ทั้งนี้ บริการหรือฟีเจอร์ดังกล่าวจะอยู่ภายใต้ข้อกำหนดฉบับนี้ เว้นแต่จะระบุไว้เป็นอย่างอื่นโดยชัดแจ้ง

Third-party links may direct you to websites or platforms that are not affiliated with or controlled by us. To the extent permitted by law, we shall not be responsible or liable for any third-party content, websites, products or services, or for any loss or damage arising from your access to or use of such third-party websites or transactions conducted with third parties. You are responsible for reviewing and understanding the terms, policies and practices of any third-party website or service before engaging in any transaction. Any complaints, claims or questions relating to third-party products or services should be directed to the relevant third party.

We are under no obligation to maintain any Submissions in confidence, to pay compensation for any Submissions, or to respond to any Submissions. We reserve the right, but have no obligation, to monitor, review, edit or remove any Submissions that, in our reasonable judgment, are unlawful, offensive, threatening, defamatory, obscene, infringing, or otherwise objectionable, or that violate these Terms or applicable law. You represent and warrant that your Submissions do not infringe any intellectual property, privacy, publicity or other proprietary rights of any third party, and do not contain unlawful, abusive or malicious content, including malware or harmful code. You are solely responsible for your Submissions and their accuracy. To the extent permitted by law, we disclaim any liability for Submissions posted by you or any third party.

 

ในกรณีที่ท่านส่งความคิดเห็น ข้อเสนอแนะ แนวคิด ข้อเสนอ แผนงาน หรือเนื้อหาอื่นใดให้แก่บริษัท ไม่ว่าจะเป็นไปตามคำขอของบริษัทหรือไม่ก็ตาม (รวมเรียกว่า “เนื้อหาที่ส่งมา”) ท่านตกลงให้สิทธิแก่บริษัทโดยไม่จำกัดเฉพาะแต่เพียงผู้เดียว โดยไม่ต้องเสียค่าตอบแทน มีผลถาวร ไม่อาจเพิกถอนได้ และใช้ได้ทั่วโลก ในการใช้ ทำซ้ำ แก้ไข ดัดแปลง เผยแพร่ แปล แจกจ่าย หรือใช้ประโยชน์จากเนื้อหาที่ส่งมาดังกล่าวในสื่อใด ๆ เพื่อวัตถุประสงค์ที่ชอบด้วยกฎหมาย บริษัทไม่มีหน้าที่ต้องเก็บรักษาเนื้อหาที่ส่งมาไว้เป็นความลับ ไม่มีหน้าที่ต้องจ่ายค่าตอบแทน และไม่มีหน้าที่ต้องตอบกลับเนื้อหาที่ส่งมา บริษัทขอสงวนสิทธิ (แต่ไม่มีหน้าที่) ในการตรวจสอบ พิจารณา แก้ไข หรือระงับการแสดงเนื้อหาที่ส่งมา ซึ่งตามดุลพินิจอันสมควรของบริษัทเห็นว่าไม่ชอบด้วยกฎหมาย เป็นการละเมิดสิทธิของบุคคลอื่น มีลักษณะไม่เหมาะสม ฝ่าฝืนข้อกำหนดฉบับนี้หรือข้อกำหนดของกฎหมาย ท่านรับรองว่าเนื้อหาที่ส่งมาจะไม่ละเมิดสิทธิในทรัพย์สินทางปัญญา สิทธิในความเป็นส่วนตัว สิทธิในชื่อเสียง หรือสิทธิอื่นใดของบุคคลภายนอก และจะไม่ประกอบด้วยเนื้อหาที่ผิดกฎหมาย ละเมิดสิทธิ มีลักษณะไม่เหมาะสม หรือมีโปรแกรมหรือโค้ดที่เป็นอันตราย ท่านเป็นผู้รับผิดชอบแต่เพียงผู้เดียวต่อเนื้อหาความถูกต้องของเนื้อหาที่ส่งมานั้น และบริษัทจะไม่รับผิดอย่างใด ๆ ต่อเนื้อหาที่ท่านหรือบุคคลภายนอกเผยแพร่ผ่านบริการของบริษัท ทั้งนี้ ภายในขอบเขตที่กฎหมายอนุญาตให้ทำได้

In addition to other prohibitions set out in these Terms, you must not use the Services or any content made available through the Services:

3. to infringe or violate our intellectual property rights or those of any third party;
4. to harass, abuse, threaten, defame, discriminate or otherwise harm others;
5. to submit false, misleading or fraudulent information;
6. to upload or transmit viruses, malware or any harmful code;
7. to collect, track or misuse personal information of others without lawful authority;
8. to engage in spamming, phishing, scraping or similar activities;
9. for any obscene or immoral purpose; or
10. to interfere with or circumvent the security features of the Services or any related systems.

 

We reserve the right to suspend or terminate your access to the Services if you violate this Section, in accordance with these Terms and applicable law.

3. เพื่อการละเมิดสิทธิในทรัพย์สินทางปัญญาของบริษัทหรือของบุคคลภายนอก 
4. เพื่อการคุกคาม ทำร้าย ดูหมิ่น ใส่ร้าย เลือกปฏิบัติ หรือกระทำการใด ๆ ที่เป็นอันตรายต่อผู้อื่น 
5. เพื่อส่งข้อมูลอันเป็นเท็จ หลอกลวง หรือทำให้เข้าใจผิด 
6. เพื่ออัปโหลดหรือส่งโปรแกรม ไวรัส มัลแวร์ หรือโค้ดที่เป็นอันตราย 
7. เพื่อเก็บรวบรวม ติดตาม หรือใช้ข้อมูลส่วนบุคคลของผู้อื่นโดยไม่ได้รับอำนาจตามกฎหมาย 
8. เพื่อการสแปม ฟิชชิ่ง การดึงข้อมูล หรือกิจกรรมในลักษณะเดียวกัน 
9. เพื่อวัตถุประสงค์ที่ลามกหรือขัดต่อศีลธรรมอันดี 
10. เพื่อแทรกแซงหรือหลีกเลี่ยงระบบรักษาความปลอดภัยของบริการหรือระบบที่เกี่ยวข้อง

 

บริษัทขอสงวนสิทธิในการระงับหรือยกเลิกการเข้าถึงบริการของท่าน หากท่านฝ่าฝืนข้อกำหนดในข้อนี้ ทั้งนี้ เป็นไปตามข้อกำหนดฉบับนี้และข้อกำหนดของกฎหมาย

13.   DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, we disclaim all warranties, representations, and conditions, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

 

To the extent permitted by applicable law, InMode (Thailand) Ltd, its directors, officers, employees, affiliates, agents, contractors, suppliers or service providers shall not be liable for any indirect, incidental, special or consequential loss or damage, including loss of profits, revenue, savings, data or business opportunities, arising out of or in connection with your use of, or inability to use, the Services or any products or services purchased through the Services.

 

Nothing in these Terms shall exclude or limit liability to the extent such liability cannot be excluded or limited under applicable law.

 

ภายใต้ขอบเขตที่กฎหมายอนุญาตให้ทำได้ บริษัทไม่รับรองว่าการให้บริการจะเป็นไปอย่างต่อเนื่อง ทันเวลา ปลอดภัย หรือปราศจากข้อผิดพลาด และไม่รับรองว่าผลลัพธ์ใด ๆ ที่เกิดจากการใช้บริการจะมีความถูกต้องหรือเชื่อถือได้

 

บริการ รวมถึงสินค้าและบริการทั้งหมดที่จัดหาให้ผ่านบริการ ให้บริการในลักษณะ “ตามที่เป็นอยู่” และ “ตามที่มีให้บริการ” เว้นแต่จะมีการระบุไว้โดยชัดแจ้งในข้อกำหนดฉบับนี้ คำสั่งซื้อที่เกี่ยวข้อง หรือการรับประกันเป็นลายลักษณ์อักษรที่ออกโดยบริษัท

 

ภายใต้ขอบเขตที่กฎหมายอนุญาตให้ทำได้ บริษัทขอปฏิเสธการรับประกัน คำรับรอง หรือเงื่อนไขใด ๆ ไม่ว่าทางตรงหรือโดยนัย รวมถึงแต่ไม่จำกัดเพียง การรับประกันโดยนัยในเรื่องความเหมาะสมทางการค้า ความเหมาะสมสำหรับวัตถุประสงค์เฉพาะ ความคงทน กรรมสิทธิ์ และการไม่ละเมิดสิทธิของบุคคลอื่น

 

ภายใต้ขอบเขตที่กฎหมายอนุญาต บริษัท อินโหมด (ไทยแลนด์) จำกัด รวมถึงกรรมการ ผู้บริหาร พนักงาน บริษัทในเครือ ตัวแทน ผู้รับเหมา ผู้จัดหา หรือผู้ให้บริการของบริษัท จะไม่รับผิดต่อความเสียหายทางอ้อม ความเสียหายโดยบังเอิญ ความเสียหายพิเศษ หรือความเสียหายต่อเนื่องใด ๆ รวมถึงแต่ไม่จำกัดเพียง การสูญเสียกำไร รายได้ เงินออม ข้อมูล หรือโอกาสทางธุรกิจ ซึ่งเกิดขึ้นจากหรือเกี่ยวข้องกับการใช้ หรือการไม่สามารถใช้บริการ สินค้า หรือบริการที่จัดหาให้ผ่านบริการ

 

ทั้งนี้ ไม่มีข้อความใดในข้อกำหนดฉบับนี้ที่มีผลเป็นการตัดสิทธิหรือจำกัดความรับผิดของบริษัทในกรณีที่กฎหมายไม่อนุญาตให้ตัดสิทธิหรือจำกัดความรับผิดดังกล่าว

14.   INDEMNIFICATION

You agree to indemnify and hold harmless InMode (Thailand) Ltd., its directors, officers, employees, affiliates, agents, contractors, suppliers and service providers from and against any third-party claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Services, or your violation of applicable law or the rights of any third party, to the extent permitted by applicable law.

 

ท่านตกลงที่จะชดใช้ค่าเสียหายและทำให้บริษัท อินโหมด (ไทยแลนด์) จำกัด รวมถึงกรรมการ ผู้บริหาร พนักงาน บริษัทในเครือ ตัวแทน ผู้รับเหมา ผู้จัดหา และผู้ให้บริการของบริษัท พ้นจากความรับผิดในกรณีที่มีการเรียกร้อง ความเสียหาย ความรับผิด ค่าใช้จ่าย หรือค่าใช้จ่ายทางกฎหมายอันสมควรใด ๆ จากบุคคลภายนอก ซึ่งเกิดขึ้นจากหรือเกี่ยวข้องกับการฝ่าฝืนข้อกำหนดฉบับนี้ การใช้บริการโดยมิชอบ หรือการฝ่าฝืนกฎหมายที่ใช้บังคับหรือสิทธิของบุคคลภายนอก ทั้งนี้ ภายใต้ขอบเขตที่กฎหมายอนุญาตให้ทำได้

15.   SEVERABILITY

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be deemed severed, and the remaining provisions shall continue in full force and effect to the extent permitted by applicable law.

 

หากข้อใด ๆ ของข้อกำหนดฉบับนี้ถูกวินิจฉัยว่าไม่ชอบด้วยกฎหมาย ใช้บังคับไม่ได้ หรือไม่มีผลบังคับ ให้ถือว่าข้อกำหนดดังกล่าวถูกแยกออกจากข้อกำหนดอื่น ๆ และให้ข้อกำหนดอื่น ๆ ยังคงมีผลบังคับใช้ต่อไปภายใต้ขอบเขตที่กฎหมายอนุญาต

16.   TERMINATION

These Terms shall remain in effect unless terminated by you or us. You may terminate these Terms at any time by ceasing to use the Services. We reserve the right to suspend or terminate your access to the Services, in whole or in part, if you materially breach these Terms, subject to applicable law. Upon termination, any provisions which by their nature are intended to survive shall continue in effect.

 

ข้อกำหนดฉบับนี้จะมีผลใช้บังคับต่อไปจนกว่าจะมีการเลิกสัญญาโดยท่านหรือโดยบริษัท ท่านอาจเลิกสัญญานี้ได้ทุกเมื่อโดยการหยุดใช้บริการ บริษัทขอสงวนสิทธิในการระงับหรือยกเลิกการเข้าถึงบริการของท่าน ไม่ว่าทั้งหมดหรือบางส่วน หากท่านฝ่าฝืนข้อกำหนดฉบับนี้อย่างมีนัยสำคัญ ทั้งนี้ เป็นไปตามข้อกำหนดของกฎหมาย ทั้งนี้ ภายหลังการเลิกสัญญา ให้ข้อกำหนดใดที่โดยสภาพหรือโดยเจตนามีวัตถุประสงค์ให้มีผลบังคับต่อไปภายหลังการเลิกสัญญายังคงมีผลใช้บังคับต่อไปภายหลังการเลิกสัญญา

17.   ENTIRE AGREEMENT

These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between you and us in relation to the Services, and supersede all prior agreements, understandings or communications. No failure or delay by us in exercising any right shall operate as a waiver of such right.

 

ข้อกำหนดฉบับนี้ รวมถึงนโยบายใด ๆ ที่ได้อ้างอิงไว้โดยชัดแจ้ง ถือเป็นข้อตกลงทั้งหมดระหว่างท่านและบริษัทเกี่ยวกับการใช้บริการ และใช้แทนข้อตกลง ความเข้าใจ หรือการสื่อสารใด ๆ ที่มีอยู่ก่อนหน้าทั้งหมด และการที่บริษัทไม่ใช้หรือใช้สิทธิใด ๆ โดยล่าช้า ไม่ให้ถือเป็นการสละสิทธิในสิทธินั้นโดยบริษัท

ข้อกำหนดฉบับนี้และข้อพิพาทใด ๆ ที่เกิดขึ้นจากหรือเกี่ยวข้องกับข้อกำหนดฉบับนี้ ให้ใช้บังคับและตีความตามกฎหมายแห่งราชอาณาจักรไทย
